BI Manager License and Support Agreement

There are three general sections to the Licensing Agreement: 1) The purchase of the right to use BI Manager (the license); 2) The Terms of Support, and the Yearly Maintenance Agreement; 3) and the Terms of Enhancement to BI Manager.

1. The Purchase of the right to use BI Manager (the license) The purchaser of the license (the “licensee”) has the right to use BI Manager for whatever purposes they deem necessary. The License fee is a one-time expense, to be agreed upon at the time of purchase. The license does not give the licensee the right to alter the code of the software in any way, nor does it give the licensee the right to transfer the software for use by another business entity, whether that is a different company, or a different department within the same company.

Service for BI Manager is offered in 2 forms: Support, and Enhancement.

2. The Terms of Support, and the Yearly Maintenance Agreement The Terms of Support are offered, and required, in order to keep the Licensing Agreement valid. Support is defined as the maintenance of code required to assure the intended functionality of the software. Intended functionality is broadly defined as the features delivered at the purchase of BI Manager, as is. The Terms of Support are purchased yearly, by the licensee, for the sum equal to 30% of the purchase price of BI Manager. Support is administered in the form of software upgrades, done either on site, or though the company web site. Software upgrades can be performed as frequently as necessary. Access to the company web site is free, but some services offered within the web site are services that are related to the Terms of Support. SNCL is not responsible for data that is lost or corrupted by the BI Manager software.

3. The Terms of Enhancement to BI Manager BI Manager is a program that is constantly being enhanced. Although the licensee is given a level of functionality at the time of the License Agreement, the licensee may request an Enhancement at any time. The Enhancement is logged and evaluated for introduction into BI Manager. The cost of the Enhancement is determined at the time of evaluation. Listings of all enhancements can be made available to all BI Manager licensees on request. If an Enhancement is introduced in to BI Manager, it then becomes part of the intended functionality of BI Manager.
